Welcome to the Acuity AutoRedact’s Terms of Use
Effective date: 9 June 2026
These Terms of Use explain the rules that apply when you access or use our website, platform, products, applications and services, including our document and video redaction services together referred to in these Terms as the “Services”.
Please read these Terms carefully before using Acuity AutoRedact. By creating an account, using the Services, starting a trial, or purchasing a subscription, you agree to be bound by these Terms.
These Terms should be read alongside our Privacy Policy, Data Processing Agreement, and any order form, subscription plan, trial terms or other written agreement we provide to you.
1. About us
Acuity AutoRedact is operated by:
Acuity AI Education Ltd trading as Acuity AutoRedact
Company number: 16335713
Registered office: 15 Nimbus Close, Marton-in-Cleveland, Middlesbrough, TS7 8SH
Email: [email protected]
In these Terms, “Acuity AutoRedact”, “we”, “us” and “our” refer to the company operating the Services.
2. Who may use the Services
You may use the Services only if you are legally able to enter into a binding agreement.
If you use Acuity AutoRedact on behalf of a school, academy trust, local authority, company or other organisation, you confirm that you have authority to accept these Terms on behalf of that organisation. In that case, references to “you” and “your” include both you personally and the organisation you represent.
You must not use the Services if doing so would breach any law, regulation, contract, policy or duty that applies to you.
3. Changes to these Terms
We may update these Terms from time to time, for example to reflect changes to the Services, legal requirements, security practices, or how we operate.
If we make material changes, we will take reasonable steps to notify you, such as by email, account notice or website notice. The updated Terms will apply from the effective date stated in the notice or on the updated Terms.
If you do not agree to the updated Terms, you must stop using the Services. Continued use of the Services after the updated Terms take effect means you accept the updated Terms.
4. Your account
You may need to create an account to use some or all of the Services.
You agree to:
- provide accurate, complete and up-to-date account information;
- keep your login details secure;
- not share your password or account access with unauthorised users;
- promptly tell us if you suspect unauthorised access to your account;
- ensure that all users within your organisation use the Services lawfully and responsibly.
You are responsible for all activity carried out through your account, unless that activity was caused by our failure to apply reasonable security measures.
We may suspend or restrict access to an account if we reasonably believe that the account has been compromised, misused, used unlawfully, or used in breach of these Terms.
5. The Services
Acuity AutoRedact provides tools to assist with the identification and redaction of personal data and other information from documents, images, video and related materials.
The Services may include, depending on your plan:
- document redaction;
- video or CCTV redaction;
- detection of personal data and other sensitive content;
- review and approval tools;
- usage dashboards;
- administrative controls;
- downloadable redacted outputs;
- trial access or paid subscription access.
The Services are designed to assist with redaction workflows. They do not replace your own review, professional judgement, legal obligations, safeguarding duties, data protection responsibilities, or disclosure decision-making.
You remain responsible for checking outputs before disclosure or use.
6. Data protection and confidentiality
Acuity AutoRedact may process personal data on your behalf when you upload files, videos or other content to the Services.
Where we process personal data on your behalf, the parties’ data protection obligations will be governed by our Data Processing Agreement and our Privacy Policy.
You are responsible for ensuring that:
- you have a lawful basis for uploading personal data to the Services;
- you have authority to process and redact the materials you upload;
- you comply with UK GDPR, the Data Protection Act 2018 and other applicable data protection laws;
- you review redacted material before release;
- you do not upload material that you are not legally permitted to process.
We will take reasonable technical and organisational measures to protect the security of data processed through the Services.
7. Uploaded content
In these Terms, “User Content” means any document, image, video, file, text, data or other material you upload, submit, process or generate through the Services.
You retain ownership of your User Content.
You grant us a limited licence to host, process, transmit, display and use your User Content only as necessary to provide, secure, support, maintain and improve the Services, and as otherwise set out in our Privacy Policy and Data Processing Agreement.
You confirm that you have all rights, permissions and lawful authority needed to upload and process User Content through the Services.
You must not upload User Content that:
- you have no right to process;
- is unlawful, harmful, malicious or fraudulent;
- contains malware, viruses or harmful code;
- infringes another person’s intellectual property rights;
- is uploaded for any purpose unrelated to legitimate use of the Services.
8. Accuracy of redaction and AI-assisted outputs
Acuity AutoRedact uses automated and AI-assisted tools to help identify information that may need to be redacted.
Although we aim to provide accurate and reliable outputs, no automated redaction system can guarantee perfect detection in every case.
You acknowledge that:
- the Services may not identify every item requiring redaction;
- the Services may identify items that do not require redaction;
- video, CCTV, scanned documents, handwriting, poor image quality and unusual formatting may affect accuracy;
- you are responsible for reviewing outputs before relying on them;
- you must not disclose redacted outputs unless you are satisfied that they are appropriate and lawful.
The Services are a support tool. They are not legal advice, data protection advice, safeguarding advice, or a substitute for human review.
9. Acceptable use
You must not use the Services to:
- break the law or encourage unlawful activity;
- infringe intellectual property, privacy, confidentiality or data protection rights;
- upload malicious code, malware, spyware or harmful files;
- interfere with the operation, security or integrity of the Services;
- attempt to gain unauthorised access to the Services or related systems;
- reverse engineer, decompile or attempt to extract source code, models, prompts, systems or underlying technology;
- scrape, crawl or harvest data from the Services without our written permission;
- resell, sublicense or provide the Services to third parties unless we have agreed this in writing;
- use the Services to develop a competing product or service;
- overload, disrupt or impair the Services;
- remove or alter any proprietary notices;
- misrepresent your identity or affiliation;
- use another person’s account without permission.
We may suspend or terminate your access if we reasonably believe you have breached this section.
10. Intellectual property
Acuity AutoRedact and its licensors own all rights, title and interest in the Services, including software, designs, interfaces, workflows, models, text, graphics, logos, branding, documentation and underlying technology.
Subject to these Terms and your subscription plan, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Services for your internal business or organisational purposes.
You may not copy, modify, distribute, sell, lease, sublicense, reverse engineer or create derivative works from the Services unless we have expressly agreed this in writing.
Nothing in these Terms transfers ownership of the Services or our intellectual property to you.
11. Third-party services
The Services may integrate with or contain links to third-party services, such as payment processors, cloud hosting providers, authentication providers or file storage providers.
We are not responsible for third-party services that we do not control. Your use of third-party services may be subject to their own terms and privacy policies.
We currently use Stripe and Tide Bank as payment processors to manage payments. Payment processing is subject to the payment processor’s own terms and policies.
12. Trials
We may offer free trials or limited-use trials.
Trial terms, including duration, usage limits and available features, will be explained when you sign up.
Unless stated otherwise:
- trial access is provided for evaluation only;
- trial access may have reduced functionality;
- trial usage limits may apply;
- we may withdraw or amend a trial at any time;
- CCTV/video redaction may be excluded from trial access.
You must stop using paid features before the trial ends if you do not wish to continue with a paid subscription.
13. Fees and payment
Some Services are paid Services.
You agree to pay all fees shown at the point of purchase or set out in your order form, subscription plan or written agreement with us.
Fees may be charged monthly, annually, by usage, by plan, or otherwise as agreed.
Unless stated otherwise:
- fees are payable in pounds sterling;
- fees are exclusive of VAT, if VAT applies;
- payment is due in advance;
- subscriptions renew automatically unless cancelled in accordance with these Terms or the applicable order terms.
You must provide accurate and up-to-date billing information. If payment fails, we may suspend or restrict access to paid Services until payment is made.
14. Auto-renewal and cancellation
If you purchase a recurring subscription, it will automatically renew at the end of each billing period unless cancelled before renewal.
You may cancel by emailing: [email protected]
Cancellation will usually take effect at the end of your current paid billing period. Unless required by law or expressly stated otherwise, we do not provide refunds for unused parts of a billing period.
We will aim to make cancellation clear and straightforward. If your subscription was purchased under a separate written agreement, the cancellation terms in that agreement may apply.
15. Changes to pricing or plans
We may change our pricing, plans, features or usage limits from time to time.
If a pricing change affects your existing paid subscription, we will give reasonable notice before the change takes effect.
If you do not agree to the pricing change, you may cancel your subscription before the change applies.
16. Service availability
We aim to keep the Services available and functioning reliably. However, we do not guarantee that the Services will always be available, uninterrupted, error-free or free from delays.
We may suspend, restrict or interrupt access where necessary for:
- maintenance;
- security updates;
- emergency fixes;
- infrastructure issues;
- legal or regulatory reasons;
- suspected misuse;
- matters outside our reasonable control.
Where practical, we will try to give notice of planned maintenance or significant disruption.
17. Support
Support is available by email at: [email protected]
Support availability, response times and service levels may depend on your subscription plan or any separate written agreement with us.
18. Termination
You may stop using the Services at any time.
We may suspend or terminate your access if:
- you breach these Terms;
- you fail to pay fees when due;
- your use creates a security, legal, operational or reputational risk;
- we are required to do so by law;
- we reasonably suspect misuse, unlawful activity or unauthorised access.
On termination:
- your right to use the Services ends;
- you must stop accessing the Services;
- outstanding fees remain payable;
- we may delete or retain data in accordance with our Privacy Policy, Data Processing Agreement, retention policies and legal obligations.
Sections that by their nature should continue after termination will continue, including payment obligations, intellectual property rights, confidentiality, data protection obligations, limitations of liability and dispute provisions.
19. Confidentiality
Each party may receive confidential information from the other.
Confidential information includes non-public business, technical, financial, operational, product, security, customer and data-related information.
Each party agrees to:
- keep confidential information secure;
- use it only for the purposes of the Services;
- not disclose it except where required for legitimate use of the Services, legal compliance, professional advice, or as otherwise agreed in writing.
This section does not apply to information that is public, already lawfully known, independently developed, or lawfully received from a third party without restriction.
20. Warranties and disclaimers
We will provide the Services with reasonable skill and care.
However, except as expressly stated in these Terms or required by law, the Services are provided on an “as is” and “as available” basis.
We do not warrant that:
- the Services will be uninterrupted or error-free;
- all redactions or detections will be complete or accurate;
- the Services will meet every legal, regulatory or operational requirement you may have;
- the Services will prevent all data protection, disclosure or confidentiality risks;
- outputs will be suitable for disclosure without your review.
You are responsible for deciding whether the Services are suitable for your needs.
Nothing in these Terms excludes or limits any rights that cannot legally be excluded or limited.
21. Limitation of liability
Nothing in these Terms excludes or limits liability for:
- death or personal injury caused by negligence;
- fraud or fraudulent misrepresentation;
- breach of data protection obligations where such liability cannot legally be excluded;
- any other liability that cannot be excluded or limited under applicable law.
Subject to the above, we will not be liable for:
- indirect or consequential loss;
- loss of profit;
- loss of revenue;
- loss of business;
- loss of anticipated savings;
- loss of goodwill;
- loss of data, except where caused by our breach of applicable obligations;
- business interruption;
- losses caused by your failure to review redacted outputs before disclosure;
- losses caused by your unlawful or unauthorised use of the Services.
Subject to the above, our total aggregate liability arising out of or in connection with the Services will be limited to the greater of:
- the amount you paid to us for the Services in the 12 months before the event giving rise to the claim; or
- £100.
22. Indemnity
If you are using the Services on behalf of an organisation, you agree to indemnify us against losses, claims, damages, costs and expenses arising from:
- your unlawful use of the Services;
- your breach of these Terms;
- your upload or processing of User Content without appropriate rights or lawful authority;
- your failure to review redacted outputs before disclosure;
- claims brought by third parties relating to your User Content or your use of the Services.
This indemnity does not apply to losses caused by our own breach of these Terms, negligence or unlawful conduct.
23. Force majeure
We will not be responsible for failure or delay caused by events outside our reasonable control, including internet outages, hosting provider failures, cyber incidents, strikes, war, terrorism, natural disasters, power failures, government action, changes in law, or other events beyond our reasonable control.
24. Assignment
You may not assign, transfer or delegate your rights or obligations under these Terms without our prior written consent.
We may assign, transfer or delegate our rights and obligations where this is connected with a merger, restructuring, sale of assets, change of control, group company transfer, or similar business transaction, provided this does not materially reduce your rights.
25. No partnership or agency
Nothing in these Terms creates a partnership, joint venture, employment relationship, agency relationship or franchise between you and us.
You do not have authority to bind Acuity AutoRedact unless we expressly agree this in writing.
26. Entire agreement
These Terms, together with any applicable order form, subscription terms, Privacy Policy, Data Processing Agreement and any other terms expressly incorporated by reference, form the entire agreement between you and us in relation to the Services.
They replace any previous discussions, understandings or agreements about the Services, unless a separate written agreement expressly states otherwise.
27. Severability
If any part of these Terms is found to be invalid, unlawful or unenforceable, that part will be treated as modified or removed to the minimum extent necessary. The rest of the Terms will continue in force.
28. Waiver
If we do not enforce a right under these Terms, this does not mean we have waived that right.
A waiver will only be effective if given in writing.
29. Governing law and jurisdiction
These Terms are governed by the laws of the United Kingdom.
The courts of England and Wales will have exclusive jurisdiction over any dispute arising out of or in connection with these Terms or the Services, except where applicable law gives you mandatory rights to bring proceedings elsewhere.
